                                 Board Changes

The Henderson Smaller Companies Investment Trust plc announces changes to the
composition of the Board.

Mr P V S Manduca intends to stand down as a non-executive director of the
Company at the conclusion of the Annual General Meeting to be held on Friday 29
September 2006.  Paul Manduca joined the Board in 1987.

Mr K E Percy has been appointed a non-executive director of the Company, with
immediate effect.  Keith Percy, who is 61, is the Executive Chairman of Societe
Generale Asset Management UK Limited and a director of Societe Generale Asset
Management SA, its parent company.  He joined Societe Generale Asset Management
in 1997 as a founder director.  Prior to this he was successively Chairman and
Chief Executive of Phillips & Drew Fund Management and Chief Executive of Morgan
Grenfell Asset Management.  Keith Percy is also Chairman of Brunner Investment
Trust plc and a director of JP Morgan Fleming Japanese Investment Trust plc and
Standard Life Equity Income Trust plc.
