As at 30 April 2009, Henderson Opportunities Trust plc's capital with voting rights consists of 8,208,582 shares of 25p each. The Company has no shares in treasury.

Therefore, the total number of voting rights in Henderson Opportunities Trust plc is 8,208,582.
