Cancellation of the Share Premium Account

At the Annual General Meeting of the Company held on 12 December 2012, a special resolution was passed approving the cancellation of the amount standing to the credit of the Company's share premium account, subject to the approval of the Court. 

The Company is pleased to announce that, following the approval of the Court and the subsequent registration of the Court order with the Registrar of Companies, the cancellation has now become effective. Approximately £45.7 million, previously held in the share premium account, has been transferred to the distributable reserves of the Company.

No payment will be made to Ordinary Shareholders from the reserve arising from the cancellation of the share premium account without the prior consent of the Subscription Shareholders.
