ALLOTMENT OF SHARES

The Company announces the allotment on 13 September 20112 of 50,000 ordinary shares of 1 penny each fully paid for cash at a price of 101p per share ("New Shares"). The New Shares rank pari passu with the existing ordinary shares. Application is now being made for the New Shares to be admitted to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities, and dealings are expected to commence on or around 19 September 2012. The number of ordinary shares in issue is now 46,027,500.

The total number of voting rights in the Company is now 46,027,500 in respect of the ordinary shares.

The Company also has 8,300,000 non-voting subscription shares in issue.

The above figure (46,027,500) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson International Income Trust plc under the FSA's Disclosure and Transparency Rules.
