In conformity with the DTR 5.6.1 we would like to notify the market of the following:

As at 31 January 2013 Henderson High Income Trust plc's capital consisted of 97,305,744 ordinary shares of 5p with voting rights. 

Therefore, the total number of voting rights in Henderson High Income Trust plc is now 97,305,744.

The above figure (now 97,305,744) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson High Income Trust plc under the FSA's Disclosure and Transparency Rules.
