                             ANNUAL GENERAL MEETING


Henderson High Income Trust plc hereby gives notification that at the Annual
General Meeting of the Company held today all the resolutions, as set out in
full in the notice of meeting dated 9 March 2005, were duly passed on a show of
hands.  In particular, resolutions 11 and 12 were passed as special resolutions.


The full text of the resolutions can be found in the Notice of Annual General
Meeting contained in the Report & Accounts for the year ended 31 December 2004,
copies of which are available for viewing at the Document Disclosure Department
of the Financial Services Authority.
