                             ANNUAL GENERAL MEETING



Henderson High Income Trust plc hereby gives notification that at the Annual
General Meeting of the Company held today all the resolutions, as set out in
full in the notice of meeting dated 20 March 2002, were duly passed. One of the
resolutions gave authority to the Company to make market purchases of up to
7,971,511 ordinary shares (being 14.99% of the ordinary shares in issue at 20
March 2002).

Following the Annual General Meeting, and as stated in the Annual Report and
Accounts for the year ended 31 December 2001, Sir Anthony Beaumont-Dark and Mr
Job Curtis have both retired from the Board. Mr W Eason has been elected
Chairman.
