                       HENDERSON HIGH INCOME TRUST PLC

                            Annual General Meeting

Henderson High Income Trust plc hereby gives notification that at the Annual
General Meeting of the Company held today all the resolutions, as set out in
full in the notice of meeting dated 13 March 2001, were duly passed. One of
the resolutions gave authority to the Company to make market purchases of up
to 7,885,319 ordinary shares (being 14.99% of the ordinary shares in issue at
13 March 2001).
