In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:

As at 29 February 2007, Henderson EuroTrust plc's capital consists of 23,303,063
ordinary shares of 5p with voting rights.  The Company has 70,000 shares in
Treasury.

Therefore, the total number of voting rights in Henderson EuroTrust plc is
23,233,063.

The above figure (23,233,063) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Henderson EuroTrust plc
under the FSA's Disclosure and Transparency Rules.
