Transaction in Own Shares

Headlam Group plc ('Headlam') announces that on 24 August 2007, it purchased 
240,733 of its ordinary shares at a price of 560.0 pence per ordinary share 
which are to be held as treasury shares.

Following the above purchase and transfer into treasury, the total number of 
Headlam ordinary shares in issue (excluding the total of 2,014,896 ordinary 
shares now held in treasury) is 83,818,847.
