Transaction in Own Shares


Headlam Group plc announces that on 31 July 2007 it purchased 60,000 of its 
ordinary shares at a price of 560 pence per ordinary share which are to be 
held as treasury shares.

Following the above purchase and the transfer into treasury, the total number 
of Headlam Group plc ordinary shares in issue (excluding the total of 1,201,528 
ordinary shares now held in treasury) is 84,632,215.
