Cancellation of Listing of 5.6% Cumulative Preference Shares of £1 each



As announced on Monday 4 February 2002 the Company has now purchased for
cancellation all of the Headlam Group plc 5.6% Cumulative Preference Shares of
£1 each. The Company has therefore now requested the cancellation of the listing
of these shares and expects that this cancellation will become effective on
Wednesday 6 March 2002.
