Headlam Group plc - DISCLOSURE OF INTEREST IN SHARES


On 27 February 2006 Headlam Group plc received the following in respect of
notifiable interests in the ordinary voting shares of 5p of the company.


We are writing on behelf of AXA S.A. of 25 Avenue Matignon, 75008 Paris and its
Group Companies who are deemed to have an interest in these shares.


AXA S.A. knows that they were interested in 8,523,769 Odr 5p shares in the
86,710,271 share capital immediately after the time when the obligation of
disclosure arose pursuant to section 198 of the Companies Act 1985. These shares
are represented by a beneficial interest of 2,475 shares (0.00%), and a
non-beneficial interest of 8,521,294 shares (9.83%).


The identity of each registered holder of the shares to which this notice
relates, so far as is known to AXA Investment Managers UK Ltd as at 21/2/06 is
as per the attached Appendix.


This notification of change is due to a decrease in the holding from 10.46% to
9.83%
