Headlam Group plc - DISCLOSURE OF INTEREST IN SHARES


On 25 January 2007 Headlam Group plc received the following in respect of
notifiable interests in the ordinary voting shares of 5p of the company.


We are writing on behalf of AXA S.A. of 25 Avenue Matignon, 75008 Paris and its
Group Companies who are deemed to have an interest in these shares.


AXA S.A. knows that they were interested in 7,003,815 Ord 5p shares in the
87,069,521 share capital immediately after the time when the obligation of
disclosure arose pursuant to section 198 of the Act. These shares are
represented by a beneficial interest of 2,739,772 shares (3.15%), and a
non-beneficial interest of 4,264,043 shares (4.90%).


The identity of each registered holder of the shares to which this notice
relates, so far as is known to AXA Investment Managers UK Ltd as at 19/01/07 is
as per the attached Appendix.


This notification of change is due to an increase in the beneficial interest
holding from 0.10% to 3.15%


Please note that this notification includes a disclosure on behalf of the
following Investment Trust Companies which has/ have a notifiable interest as
outlined in the attached appendix. The interest of each Trust is listed below:-


Throgmorton Trust               1.84% holding

Framlington Income and Capital  0.40% holding

Framlington Innovative Growth   0.80% holding
