Headlam Group plc - Disclosure of Interest in Shares

Headlam Group plc announces that it has today received the following
notification from Threadneedle Asset Management Limited in respect of a
notifiable interest of Zurich Financial Services and its Group in the ordinary
voting shares of 5p of the company.

'In accordance with the provisions of Section 198 Companies Act 1985, we would
inform you of a change to the notifiable interest over the shares in your
company. This arises from a corporate re-organisation within the Zurich
Financial Services Group such that at 8 April 2002 Zurich Scudder Investments,
Inc. ceased to be a member of the Zurich Financial Services Group and that we
are no longer required to disclose any interests in shares on its behalf.

There have not been any transactions in your shares that would otherwise have
required a notification. Details of the holdings are available on request.'
