Headlam Group plc ('the Company') announces that Stephen
Wilson,  Finance Director, has exercised  the  following
share option.

This  option was granted to him on 4 August 1995 and  is
exercisable from 4 August 1998 to 4 August 2005.

After the exercise of the option, all of the shares were
retained.

Following    this    transaction,    Stephen    Wilson's
shareholding  in the Company increased by 37,327  shares
to  199,013  shares representing 0.24 per  cent  of  the
issued share capital of the Company.
