Headlam Group plc - Exercise of share options

Headlam Group plc ('Headlam') announces that on 5 January 2006 Graham Waldron
exercised share options over 4,796 shares granted on 28 October 2002 under the
Headlam Group Sharesave Scheme 2002 at an option price of £1.97 per share. These
options are normally exercisable between 1 January 2006 and 30 June 2006.

His shareholding following the issue increased by 4,796 shares to 476,463
representing 0.55% of the issued share capital
