DIRECTOR / PDMR Shareholding

Notification of Transactions of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons 

The Company announces that it has been today advised that, on 10^th December 2012, the following PDMRs/directors of the Company exercised the following awards under the Company's Joint Share Ownership Plan ("JSOP").

The JSOP was approved at the Annual General Meeting on 27^th November 2009 and on 9th December 2009 the PDMRs/directors of the Company acquired an interest in ordinary shares of 0.4p each in the Company ("Ordinary Shares"), which they hold jointly with an Employee Benefit Trust.

The interests in the Ordinary Shares were acquired under a joint ownership arrangement. Each of the Directors/PDMRs together with the Trustee of an Employee Benefit Trust have acquired the joint beneficial ownership of the Ordinary Shares. The Directors/PDMRs purchased the right to the growth in value of the Ordinary Shares from the date of the award, and the Trustee acquired the current value of the Ordinary Shares as at the award date.

At the award date, 9^th December 2009, each share had a market value of 268.8p.  On 10^th, 11^th and 12^th December 2012 the shares were sold at 714.8p, and each participant received an amount of 447 pence per share in respect of the sale of their interest in the shares.

The Company has also received notification that, on 12th December 2012, Mr Ian Gorham bought a total of 225,000 Hargreaves Lansdown PLC 0.4p ordinary shares at a price of 714.8 pence per share.  These shares represent 0.05% of the ordinary shares in issue.

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR/directors.
