                      DISCLOSURE OF INTEREST IN SHARES


Halma p.l.c. has today received notification from Harris Associates L.P. that
following the purchase of 96,000 shares on 29 June 2005, accounts managed by
Harris Associates L.P. became the beneficial owners of 11,073,500 ordinary
shares of the Company.  This represents 3.0% of the issued share capital of the
Company.


Harris Associates L.P. confirm that all holdings in the ordinary shares of the
Company are for investment purposes only.
