DIRECTOR'S SHARE TRANSACTION

Halma p.l.c. received notification on 29 March 2000 that Mr J C Conacher, a
Director of the Company, had sold 92,444 Ordinary shares in the Company at 
96p per share on 29 March 2000.

After the above transaction, the beneficial holding of Mr Conacher, including
family interests, in the Ordinary shares of Halma p.l.c. decreases to 345,523 
shares (0.096% of the issued Ordinary share capital).  Overall, since the last
financial year end this holding of Mr Conacher has increased by 70,318 shares.
