                         DIRECTOR'S SHARE TRANSACTION                         

At a Meeting of the Share Options Committee of the Board held today, 162,762
additional Ordinary shares in the Company were allotted to Mr J C Conacher
a Director of the Company, following the exercise of an option under the
provisions of the Company's Share Option Scheme.  The exercise price was
46.67p per share.

After the above transaction, the beneficial holding of Mr Conacher, including
family interests, in the Ordinary shares of Halma p.l.c. increases to 437,967 
shares (0.121% of the issued Ordinary share capital).  

Following the issue of the 162,762 Ordinary shares, the issued Ordinary share
capital of the Company is increased to 361,722,305 shares.
