                         DIRECTOR'S SHARE TRANSACTION                         

Halma p.l.c. has received notification from Mr P A Tett, a Director of the
Company, that on 23 August 1999 his non-beneficial interest in the Ordinary
shares of the Company had reduced following the disposal of 13,000  shares by
The Peter Tett Discretionary Settlement.

After the above transaction, the non-beneficial interest of Mr Tett in the
Ordinary shares of Halma p.l.c. decreases to 107,000 shares.  Mr Tett's
beneficial interest, including his spouse's interest, remains at 193,161
shares.  Mr Tett's total beneficial and non-beneficial interests, taken
together, represent 0.083% of the issued Ordinary share capital of the
Company.
