DIRECTOR'S SHARE TRANSACTION

Halma p.l.c. has received notification that Mr C Q Summerhayes, a Director of
the Company, and his wife have together sold 12,986 ordinary shares in the
Company at 161.5p per share on 4 April 2002.

After the above transaction, the beneficial holding of Mr Summerhayes, including
family interests, in the ordinary shares of Halma p.l.c., is 1,630,235 shares
(0.447% of the issued ordinary share capital).
