DIRECTOR'S SHARE TRANSACTION

Halma p.l.c. received notification that Mr K J Roy, a Director of the Company,
had sold 67,232 ordinary shares in the Company at 155p per share on 28 June
2001.

After the transaction, the beneficial holding of Mr Roy, including family
interests, in the ordinary shares of Halma p.l.c., is 709,743 shares (0.196%
of the issued ordinary share capital).
