DIRECTOR'S SHARE TRANSACTION


Halma p.l.c. has today received notification that Mr R A Stone, a
Non-executive Director of the Company, purchased 5,000 ordinary shares in the
Company at 130.25p per share on 28 March 2001.

After the above transaction, the beneficial holding of Mr Stone in the
ordinary shares of Halma p.l.c. amounts to 5,000 shares (0.0014% of the issued
ordinary share capital).
