Halfords Group Plc ('the Company')


The Company received notification on 9 June 2004 from Citicorp Capital Investors
Europe Limited relating to the issued shares of 1p each in the capital of the
Company (the 'Shares'), given in fulfilment of the obligations imposed by
sections 198 to 202 of the Companies Act 1985 (the 'Act'), and as a result of
Citicorp Capital Investors Europe Limited entering into a stock lending
transaction in respect of a certain number of Shares.



 1. Immediately after the time when the obligation to make this notification
    arose, Citicorp Capital Investors Europe Limited were interested in
    13,302,146 Shares (representing 5.8% of the issued share capital of the
    Company).
 2. To the extent known to Citicorp Capital Investors Europe Limited at the date
    of the notification, the identity of the registered holders of the Shares to
    which the notification relates and the number of Shares held by each of them
    are set out in the Appendix.
 3. The number of the Shares to which the notification relates in which the
    interest is such an interest as is mentioned in Section 208(5) of the Act is
    1,950,145.

Registered holder: Citicorp Capital Investors Europe Limited

Number of Shares held: 11,352,001 (representing 5.0% of the issued share capital
of the Company)



The identity of the registered holder of 1,950,145 of the Shares to which the
notification relates was not known to Citicorp Capital Investors Europe Limited
at the date of the notification.
