Halfords Group Plc ('the Company')


The Company received notification on 9 June 2004 from CVC European Equity
Partners II (Jersey) L.P. relating to the issued shares of 1p each in the
capital of the Company (the 'Shares'), given in fulfilment of the obligations
imposed by sections 198 to 202 of the Companies Act 1985 (the 'Act'), and as a
result of CVC European Equity Partners II (Jersey) L.P. entering into a stock
lending transaction in respect of a certain number of Shares.


 1. Immediately after the time when the obligation to make this notification
    arose, CVC European Equity Partners II (Jersey) L.P. were interested in
    9,606,762 Shares (representing 4.2% of the issued share capital of the
    Company).
 2. To the extent known to CVC European Equity Partners II (Jersey) L.P. at the
    date of the notification, the identity of the registered holders of the
    Shares to which the notification relates and the number of Shares held by
    each of them are set out in the Appendix.
 3. The number of the Shares to which the notification relates in which the
    interest is such an interest as is mentioned in Section 208(5) of the Act is
    1,408,388.

Number of Shares held: 8,198,374 (representing 3.6% of the issued share capital
of the Company)


The identity of the registered holder of 1,408,388 of the Shares to which the
notification relates was not known to CVC European Equity Partners II (Jersey)
L.P. at the date of the notification.
