GlaxoSmithKline plc in respect of the under-mentioned director:-


Dr J P   The Administrators of the SmithKline Beecham US Retirement Savings Plan
Garnier  notified GlaxoSmithKline plc on 14 December 2001 that Dr Garnier had
         increased his interest by 3 Ordinary Share ADRs at a price of $50.1900
         per share on the 13 December 2001. Dr Garnier was also notified of this
         change on 14 December 2001.
