GlaxoSmithKline plc in respect of the under-mentioned director:-

Dr J P  The Administrators of the GlaxoSmithKline Retirement Savings Plan
Garnier notified GlaxoSmithKline plc on 13 November 2001 that Dr Garnier had
        increased his interest by 14 Ordinary Share ADRs at a price of $53.3000
        per share on the 31 October 2001. Dr Garnier was also notified of this
        change on 13 November 2001.
