                             Directors' Interests



I give below details of changes in directors' interests in the Ordinary Shares
of GlaxoSmithKline plc.



29     The Administrators of the SmithKline Beecham Employee Share Ownership
March  Trust ('the ESOT') notified the Company on the 30 March 2001, that on 29
2001   March 2001, 554,259 Ordinary shares had been purchased by the ESOT at an
       average price of £17.9344.


The ESOT is a discretionary fund of which all employees or former employees of
SmithKline Beecham plc and its subsidiaries are potential beneficiaries. One
of the Company's directors, Dr J P Garnier is interested in the shares held in
the fund from time to time in the same way as other employees or former
employees of SmithKline Beecham plc and its subsidiaries.
