GlaxoSmithKline plc in respect of the under-mentioned director:-


Dr J P  The Administrators of the SmithKline Beecham US Retirement Savings Plan
Garnier notified GlaxoSmithKline plc on 19 February 2001 that Dr Garnier had
        increased his interest by 37 Ordinary Share ADRs at a price of $54.8900
        per share on the 16 February 2001. Dr Garnier was also notified of
        these changes on 19 February 2001.
