Mr D F  The Administrators of the SmithKline Beecham Global Buy Direct Plan
McHenry ('the plan') notified the Company and Mr McHenry on 24th January 2001
        that he had increased his interest by 3.5072 Ordinary Share ADRs at a
        price of $52.8625 per share following the re-investment of the dividend
        paid to shareholders on the 16th January 2001.
