Mr D F  The Administrators of the GlaxoSmithKline Global Buy Direct Plan
McHenry notified the Company and Mr McHenry on 24 April 2001 that he had
        increased his interest by 3.5319 Ordinary Share ADRs at a price of
        $52.2452 per share following the re-investment of the dividend paid to
        shareholders on the 17 April 2001.
