Managerial Responsibility or Connected Persons

The Administrators of the GlaxoSmithKline 2009 Performance Share Plan (the Plan) notified the Company and the under-mentioned Connected Person on 10 July 2013 of an increase in her notional interest in Ordinary Shares in respect of her 2011 Plan award. This reflects a reconciliation of notional dividends following a change in Plan administration such that the originally intended number of notional dividends will accrue over the course of the relevant vesting period. The notional dividends were re-invested on 8 July 2013 at an average price of 1413.90 pence per Ordinary Share.

The notional dividends accrued will be paid out in proportion to the percentage of the participant's Performance Share Plan holdings that vest following the end of the relevant measurement period.
