CHANGES TO THE BOARD OF DIRECTORS

Mr Craig Niven, Chairman, and Mr John Goodger, non-executive director, have
resigned as directors of Griffin Mining Limited ('the Company') in order to
pursue other business interests.  The directors are grateful for the valuable
contribution they have made to the Company since their appointment 3 years ago
and wish them well in the future.

Following the resignation of Mr Craig Niven as Chairman, Mr Mladen Ninkov has
been appointed Chairman and has relinquished the office of President. Mr Roger
Goodwin has been appointed a director and President of the Company in order to
comply with the bye-laws of the Company.

Roger Goodwin was appointed Chief Financial Officer to the Company in April
1996 and Company Secretary in November 1997. He is a Chartered Accountant and
is or has been during the period of 5 years immediately proceeding the date of
this announcement a director of the following companies:
