                          ('Gresham' or 'the Company')



The Company announces that following the exercise of SAYE share options, 16,082
new ordinary shares of 5 pence each have been issued today, taking the total
number of outstanding ordinary shares of 5 pence each to 50,269,809.



The new ordinary shares will rank pari passu in all respects with the existing
issued shares.   Application has been made to the UK Listing Authority to admit
the new ordinary shares.  Trading in the new shares is expected to commence on
28 October 2005.



The SAYE option exercise described above included the following transaction
notified by a director of the Company:



AJS Walton-Green, CEO, exercised 12,548 SAYE share options at a price of 21.5
pence per share representing 0.02% of the outstanding share capital.  As a
result, AJS Walton-Green has increased his beneficial interest in the ordinary
shares of the Company from 528,147 to 540,695, representing 1.08% of the
outstanding share capital.



The notification by the above director relates to a transaction notified to the
Company in accordance with DR 3.1.2R of the Disclosure Rules and section 324 (as
extended by section 328) of the Companies Act 1985.
