                         Directors' interests in shares


Gresham Computing plc announces that on 1 May 2002, D. Osman's interest in
12,187 SAYE options exercisable at 80 pence per share lapsed under the rules of
the SAYE scheme.  The options were granted on 29 September 1998 and were
exercisable between 1 November 2001 and 1 May 2002.  As a result of the lapse of
these options Mr Osman's interest in shares are as follows:


Shares held: 5,942 ordinary shares of 5 pence each


Options held

205,000 options over shares under the Company's Executive Share Option Schemes.

100,000 options over shares beneficially held by S J Green.
