In  conformity with the Disclosure  and Transparency Rule 5.6.1, Hazel Renewable
Energy VCT2 plc announces the following:

As at 1 September 2011, the Company's capital consisted of:
20,771,172 Ordinary Shares of 0.1 pence each; and
31,156,755 A Shares of 0.1 pence each.

The Company does not hold any shares in treasury.

Each of the Ordinary Shares has 1,000 votes and each of the A Shares has 1 vote.

Therefore,  the total number of voting rights in Hazel Renewable Energy VCT2 plc
is 20,802,328,755.

The  above takes account of  any shares that have  been recently bought back for
cancellation, even if such transactions have not yet settled.

The  above  figure  may  be  used  by  shareholders  as  the denominator for the
calculations  by which they will determine if  they are required to notify their
interest  in, or a change to their  interest in, Hazel Renewable Energy VCT2 plc
under the FSA's Disclosure and Transparency Rules.
