On 8 June 2006, Greggs plc (the "Company") was notified that Andrew Davison, Ian
Edgeworth and Clare McCann (as trustees of the Greggs Employee Benefit Trust)
had, on 8 June 2006, disposed of 3,820 ordinary shares of 20p each in the
capital of the Company ("Shares") (0.033% of the issued share capital of the
Company) at £27.00 per share to satisfy the exercise of options granted pursuant
to the Company's Savings Related Share Option Scheme. The total number of Shares
held in the Employee Benefit Trust following this notification is 467,217
(4.08%).



Notes



1.        Following this notification Andrew Davison has an interest in
1,007,820 Shares representing 8.80% of the issued share capital of the Company.



2.        Each of the Executive Directors of the Company has a potential
beneficial interest in the 467,217 Shares (4.08%) of the issued share capital)
held in the Employee Benefit Trust.
