On the 17th February 2000, 1,000 shares were transferred from the Greggs
Employee Benefit Trust to a former employee at an option exercise price of
£13.55 per share. As a result of this transfer the non-beneficial interests
of Ian Gregg, Malcolm Simpson and Mike Darrington, who are all trustees of the
Greggs Employee Benefit Trust and also directors of the company, in the share
capital of the company were each reduced by 1,000 shares.
