Greggs plc ("the Company") announces that, on 23 March 2006, Andrew Davison, Ian
Edgeworth and Clare McCann (nee Wilson) (as trustees of the Greggs Employee
Benefit Trust) notified the Company that they had, on 23 March 2006, acquired
439,829 ordinary shares of 20p each in the Company ("Shares") at £37.00 per
Share (3.6% of the issued share capital).  The total number of Shares held in
the Employee Benefit Trust following this notification is 472,753 (3.88%).



Notes



1.                   Following this notification Andrew Davison has an interest
in 1,157,194 Shares, representing 9.49% of the issued share capital of the
Company.



2.         Each of the Executive Directors of the Company has a potential
beneficial interest in the 472,753 Shares (3.88% of the issued share capital)
held in the Employee Benefit Trust.
