Board Committee Composition and Establishment of Sustainability Committee

The Board of Greencore Group plc ('Greencore', 'the Company' or the 'Group') announces the following changes to composition of its Board Committees, and the establishment of a new Board Committee. All appointments and changes are effective as of today.

Audit & Risk Committee

As announced earlier today, Alastair Murray will assume the role of Chair of the Audit & Risk Committee.

Committee composition from 1 February 2023 will therefore be Alastair Murray (Chair), Linda Hickey, Anne O'Leary and Helen Rose.

Nomination & Governance Committee

Sly Bailey will step down as Chair of the Nomination & Governance Committee. Sly remains a member of the Committee and will be replaced as Chair by Leslie Van de Walle. Linda Hickey, Alastair Murray and Helen Rose will join the Committee as members and John Amaechi will step down as a member of the Committee.

Committee composition from 1 February 2023 will therefore be Leslie Van de Walle (Chair), Sly Bailey, Linda Hickey, Alastair Murray and Helen Rose.

Remuneration Committee

Sly Bailey and John Amaechi will join the Remuneration Committee as members.

Committee composition from 1 February 2023 will therefore be Linda Hickey (Chair), John Amaechi, Sly Bailey and Anne O'Leary.

Sustainability Committee

A new Sustainability Committee will be established. Helen Rose, the Group's Sustainability Engagement Director, will assume the role of Chair of the Sustainability Committee and will be joined by John Amaechi, Sly Bailey and Alastair Murray as members of the new Committee.

Committee composition from 1 February 2023 will therefore be Helen Rose (Chair), John Amaechi, Sly Bailey and Alastair Murray.
