Grafton Group plc ('the company') has been informed on 6 February 2008 by Bank
of Ireland Asset Management Limited of 40 Mespil Road, Dublin 4 that it has an
interest in 14,620,298 Grafton Units representing 6.37 per cent of the issued
share capital of the company.



Of this holding,  168,171 units are registered in the nominee company name of
BNY Custodial Nominees Limited,  653,664 units are registered in the name of
Mellon Nominees Limited,  205,973 units are registered in the name of Nortrust
Nominees Limited and 13,592,490 units are registered in the name of Bank of
Ireland Nominees Limited, as registered owner only on behalf of a range of
clients each of whom are the beneficial owner of a portion of the holding.
