Grafton Group Plc (the company) has been informed on 16 February 2001 by M&G
Investment Management Limited of Laurence Pountney Hill, London EC4R OHH that
Prudential Plc and certain of its subsidiary companies have a notifiable
interest in 550,000 shares representing 3.16% of the issued share capital of
