GOODWIN PLC - APPOINTMENT OF DIRECTOR

Further to a Board Meeting held today, 14th November 2002, the Board is pleased
to announce that Mr. Francis Anthony Gaffney has been appointed as an Executive
Director of the Company with immediate effect.

Mr Gaffney has been a director of our subsidiary company, Goodwin International
Ltd. since 1993.

There are no matters to be disclosed pursuant to paragraph 16.4 of the Listing
Rules in respect of this appointment.
