GOODWIN PLC ('the Company')

DIRECTOR'S SHAREHOLDING

The Company received notification on 22nd September 2008 of the following transactions in which Mr R J. Dyer, a director of the Company, is interested.

The purchase of shares in the capital of the Company by Mr. Dyer's wife as follows:

2,000 shares on 9th September 2008 at a price of 1170p per share

1,000 shares on 10th September 2008 at a price of 1190p per share

1,000 shares on 11th September 2008 at a price of 1195p per share.

Following the transaction Mr. Dyer's holding now amounts to 18,750 shares.

The purchases took place under an automatic trigger instruction and he only became aware of them on return from an overseas business trip.
