In conformity with the Transparency Directives transitional provision 6 we would
like to notify the market of the following:

On 11 January 2007 Gooch & Housego PLC's issued Share Capital was increased by
the issue of 63,492 ordinary shares of 20p each. These will rank pari-passu in
all respects with the existing shares in issue and have been allotted pursuant
to the exercise of share options.

Gooch & Housego PLC's capital now consists of 18,062,654 ordinary shares with
voting rights.

The above figure of 18,062,654 may be used by shareholders as the denominator
for the calculation by which they will determine if they are required to notify
their interest in, or a change in their interest in, Gooch & Housego PLC under
the FSA's Disclosure and Transparency Rules
