Gooch & Housego PLC announces that on 18 May 2004 it despatched a circular to
shareholders regarding the adoption of a share option scheme.  The adoption of
the share option scheme is conditional on the passing of an ordinary resolution
at an Extraordinary General Meeting of the Company to be held on 7 June 2004.
