                                 AGM Statement

                        -Board Changes & Trading Update




At the AGM of Gooch & Housego PLC to be held later today, Chief Executive
Officer Gareth Jones will update shareholders on changes to the board and
current trading:



'Gooch & Housego PLC confirms that, as stated in the Chief Executive's Review of
20 January 2005, Mr A W C Gooch has decided that due to continuing ill health he
will retire as Non Executive Chairman at today's Annual General Meeting.



The process of recruiting a Chairman has already begun and it is intended that
an appointment will be made shortly.  During this period Mr G C W Jones has been
appointed Acting Chairman in addition to his role as Chief Executive Officer.



The Group has made a positive start to the current year and we expect the final
results will be in line with current market expectations'
