Notification of transaction by connected person of Person Discharging Managerial Responsibilities

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.2, Glencore International plc notifies that on 22 September 2011 FR Galaxy Holdings S.à r.l. (FR) notified the Company that:

1.     between the 19 September 2011 and 21 September 2011 FR agreed to purchase 3,119, 142 ordinary shares in the capital of the Company (Shares) at an average price per Share equal to £4.39. Also, FR's affiliate, ECP Galaxy Holdings S.à r.l., agreed to purchase 207,943 Shares at the same average price per Share.

2.     FR is a connected person of Mr. William Macaulay, a Director and person discharging managerial responsibilities of Glencore International plc;

3.     the purchases of these Shares will take place in London and will settle through the Euroclear system; and

4.     the purchases of these Shares  constitute notifiable transactions under DTR 3.1.2.
